Jersey Mike's (JMKE) Targets $1.0 Billion IPO as Leading Franchise Sandwich Chain Enters the Public Markets

Jersey Mike's Subs Inc. (JMKE) is preparing to list on the New York Stock Exchange through an initial public offering of 43.48 million shares at an expected price range of $21.00 to $25.00 per share, with the company expected to begin trading on July 30, 2026, under the ticker JMKE. At the $23.00 midpoint, the transaction would raise approximately $1.0 billion and value the company at approximately $7.31 billion, based on roughly 317.6 million fully exchanged shares outstanding. Of the shares offered, 13.78 million are being sold by the company and 29.70 million by existing shareholders, meaning nearly 68% of the offering consists of secondary shares. Morgan Stanley, Jefferies, and J.P. Morgan are serving as lead underwriters.

Jersey Mike's has grown from a single sandwich shop founded in Point Pleasant, New Jersey, in 1956 into one of North America's largest quick-service restaurant franchises. The company now operates more than 3,300 locations across the United States and Canada, with over 1,600 additional stores contractually committed by franchisees. Unlike many restaurant chains, Jersey Mike's operates an asset-light franchise model, generating the majority of its revenue through royalties, franchise fees, advertising contributions, and other recurring revenue streams rather than company-operated restaurants.

The IPO follows Blackstone's acquisition of a majority stake in Jersey Mike's during 2025, positioning the company to access the public equity markets while allowing Blackstone to maintain majority voting control following the offering. While the transaction provides the company with capital to reduce debt, the large secondary component also provides liquidity for existing shareholders.

Financial performance has remained strong despite the company's increasing size. Revenue increased from $561 million in 2023 to $653 million in 2024 before reaching $724 million in 2025, representing nearly 29% cumulative growth over the two-year period. Adjusted EBITDA expanded from $195 million to $327 million, while adjusted EBITDA margin improved from 35% to 47%. Meanwhile, systemwide sales surpassed $4.22 billion during fiscal 2025, demonstrating the strength of the franchise system even though only a small percentage of restaurants are company owned.

The franchise model remains one of Jersey Mike's greatest competitive advantages. Average unit volumes reached approximately $1.36 million during 2025, franchise cash-on-cash returns approached 42%, and the company continues to benefit from repeat development by existing franchisees. More than 90% of its committed development pipeline is being built by operators already within the system—a notable indicator of franchisee confidence. Management believes the brand can ultimately support approximately 15,000 locations worldwide, providing a significant runway for future expansion.

Beyond its franchise economics, Jersey Mike's has built one of the strongest consumer brands in the fast-casual restaurant industry. The company reports more than 12 million active loyalty members, while approximately 42% of systemwide sales are generated through digital ordering channels. National advertising campaigns featuring Danny DeVito and Eli Manning, combined with its designation as the Official Sub Sandwich Partner of the NFL, have significantly expanded brand awareness and helped reinforce Jersey Mike's premium positioning. In June 2026, the company also ranked No. 1 among quick-service restaurants in the American Customer Satisfaction Index (ACSI), becoming the first new brand in more than a decade to lead the category. Management believes these marketing initiatives, together with customer loyalty and digital engagement, provide an important competitive advantage as the company continues expanding its national footprint.

Growth has naturally moderated as the system has expanded. Comparable-store sales increased 8.4% in 2023, slowed to 2.0% in 2024, and improved modestly to 3.2% in 2025. During the first half of 2026, comparable sales remained positive but continued to normalize as the business matured. Going forward, management's ability to sustain restaurant openings while maintaining healthy same-store sales growth will likely be one of the key metrics investors monitor.

Chief Executive Officer Charlie Morrison, who joined Jersey Mike's in 2025 after leading Wingstop, brings significant public company experience to the organization. Under Morrison's leadership, Wingstop became one of the restaurant industry's strongest-performing public equities, driven by rapid franchise expansion, digital engagement, and consistently high returns on invested capital. His arrival has naturally led many investors to compare Jersey Mike's long-term opportunity with Wingstop's growth trajectory.

Those comparisons extend beyond management. Among publicly traded restaurant companies, Wingstop (NASDAQ: WING) represents perhaps the closest operating comparison due to its asset-light franchise model and recurring royalty revenue. Restaurant Brands International (NYSE: QSR) offers another useful benchmark as a large-scale franchisor generating stable fee-based cash flows across multiple restaurant concepts. Meanwhile, CAVA Group (NYSE: CAVA), Dutch Bros (NYSE: BROS), and Sweetgreen (NYSE: SG) provide recent examples of premium-valued growth restaurant companies that have successfully accessed the public markets despite operating under different business models. While Jersey Mike's shares characteristics with each of these companies, its combination of franchise economics, average unit volumes, and brand maturity places it in a unique position within the publicly traded restaurant universe.

At the midpoint of the proposed price range, Jersey Mike's would debut with an estimated enterprise value of approximately $8.87 billion, representing roughly 12.3x fiscal 2025 revenue and approximately 27x adjusted EBITDA. Those valuation metrics place the company toward the upper end of publicly traded restaurant peers, reflecting investor expectations for continued unit expansion, durable franchise economics, and sustained long-term cash flow growth.

Net proceeds from the primary offering are expected to total approximately $301 million, with substantially all of those proceeds designated to reduce outstanding debt associated with prior securitization financings. Although the offering improves the company's capital structure, Jersey Mike's will continue operating with meaningful leverage following the transaction while Blackstone retains majority voting control.

Jersey Mike's enters the public markets as one of the largest consumer IPOs of 2026 and one of the most recognizable franchise restaurant brands in the United States. The company's asset-light business model, recurring royalty revenue, consistent franchise development, and established customer base have helped support strong financial performance while creating a significant runway for future expansion.

Following its expected July 30, 2026 debut on the NYSE, investors will likely focus on several key operating metrics, including comparable-store sales trends, new restaurant openings, franchisee economics, digital engagement, and progress toward reducing leverage. Market participants will also compare Jersey Mike's performance with other publicly traded restaurant operators, particularly franchise-focused companies such as Wingstop and Restaurant Brands International, while monitoring valuation relative to growth-oriented restaurant concepts including CAVA, Dutch Bros, and Sweetgreen.

Although Jersey Mike's shares several characteristics with these companies, its combination of a mature national brand, predominantly franchised operating model, and substantial remaining development pipeline distinguishes it within the publicly traded restaurant sector.
